Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and the operator of IronKite (“IronKite,” “we,” “us,” or “our”) and govern your access to and use of the IronKite web console, mobile applications, APIs, and related services (collectively, the “Service”). By creating an account, clicking “I agree,” or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
1. The Service
IronKite is field service management software for trades businesses. It provides tools for scheduling and dispatching jobs, managing customers, tracking technician time, capturing job photos and notes, creating invoices and accepting payments, and related functionality. Features available to you depend on your subscription plan and may change over time as we improve the Service.
2. Accounts, organizations, and eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. Each IronKite account belongs to an organization. The person who creates the organization is responsible for managing its members and roles (such as Office Manager, Dispatcher, and Field Technician). You are responsible for:
- maintaining the confidentiality of your login credentials and any credentials of users you invite;
- all activity that occurs under your account and your organization’s accounts;
- ensuring the people you invite are authorized to access your business data; and
- promptly notifying us of any unauthorized use or suspected breach.
3. Free trial, subscriptions, and billing
- Free trial. We may offer a free trial (currently 14 days). At the end of the trial, continued use of the Service requires a paid subscription unless otherwise stated.
- Subscription fees. Paid plans are billed on a per–field-technician, per-month basis at the rate shown at sign-up or in your account. Promotional rates apply only for the period stated and may change afterward.
- Renewal. Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
- Cancellation. You may cancel at any time; your subscription remains active through the end of the current paid period, and we do not provide prorated refunds for partial periods except where required by law.
- Taxes. Fees are exclusive of taxes, which are your responsibility where applicable.
- Payment processing. Payments are handled by third-party processors; we do not store full payment card numbers.
4. Your data and ownership
As between you and IronKite, you own the data you and your users submit to the Service, including customer records, jobs, invoices, photos, and notes (“Customer Data”). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service, to provide support, and as otherwise permitted in these Terms. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to provide it to us — including any consent required to contact your customers by SMS or email through the Service.
5. Data backups and recovery
We take reasonable measures to protect Customer Data, including routine database backups of the production environment. You should understand the following about how backups work:
- Backups are taken on a periodic schedule (for example, daily). They are intended for disaster recovery of the Service as a whole, not as an on-demand “undo” or record-level restore feature for individual accounts.
- Recovery point. Because backups are periodic, recovering from a backup may result in the loss of data created or changed since the most recent backup — potentially up to 24 hours of changes in a daily-backup configuration.
- Retention. Backups are retained only for a limited window and are not an archival or long-term records service.
- Your responsibility. You are responsible for maintaining your own copies or exports of any data that is critical to your business. We strongly encourage exporting important records periodically.
We do not guarantee that any particular data can be recovered, or recovered to any particular point in time.
6. Acceptable use
You agree not to:
- use the Service to violate any law or regulation, or to infringe the rights of others;
- send unlawful, harassing, or unsolicited messages (including SMS or email) in violation of applicable communications laws;
- attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the Service;
- reverse engineer, resell, or sublicense the Service except as expressly permitted; or
- upload malicious code or use the Service to store illegal content.
We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to the Service or other users.
7. Communications and SMS
The Service can send notifications and messages — including SMS text messages — to your team and, where you enable it, to your customers (for example, “technician on the way” updates). You are responsible for obtaining any consent legally required from recipients before sending messages through the Service. Standard message and data rates may apply to recipients. We may use third-party providers to deliver these communications.
8. Third-party services
The Service integrates with third-party services (such as payment processing, accounting/QuickBooks sync, mapping, and messaging providers). Your use of those integrations may be subject to the third party’s own terms and privacy practices, and we are not responsible for third-party services. Integrations may be added, changed, or removed over time.
9. Mobile applications
Field technicians use the IronKite mobile application, which may be distributed through the Apple App Store and Google Play. Your use of the mobile apps is also subject to the applicable app store’s terms. Availability of the mobile apps and specific features may vary and may be released over time.
10. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by IronKite and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms. We welcome feedback and may use it without obligation to you.
11. Service availability
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time due to maintenance, updates, or factors outside our control. We may modify, suspend, or discontinue features of the Service.
12. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that data will be accurate or recoverable.
13. Limitation of liability
To the maximum extent permitted by law, IronKite will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless IronKite from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, your communications with your customers, or your violation of these Terms or applicable law.
15. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that may cause harm or legal liability. Upon termination, your right to use the Service ends. We may make Customer Data available for export for a limited period after termination, after which it may be deleted in the ordinary course.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting the updated Terms with a new “Last updated” date or notifying you in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for any dispute not subject to arbitration or small-claims resolution, to the extent permitted by law.
